Terms of Service

1. Acceptance and language

These terms are the contract between you and Bedros Nazarian and Azad Kallashian, doing business as ROTOYA, 553 70e Avenue, Laval, Quebec H7V 2R1 ("ROTOYA", "we"), for the use of rotoya.com and the app at app.rotoya.com (the "Service"). By creating an account or using the Service, you accept them. If you accept on behalf of a business, you confirm you have the authority to bind it; "you" then means the business.

The French version of these terms governs. This English version is provided for convenience.

2. The Service

ROTOYA lets you take in jobs (typed, pasted, photographed, Excel), plan routes for one or more drivers, share out the work, follow progress and collect proof of delivery (signature, photos, invoice). We improve the Service regularly; a feature may change or be withdrawn. A feature labelled "beta" is offered as is.

3. Accounts

• You must be 18 or older and provide accurate information.
• You are responsible for keeping your credentials confidential and for activity on your account. Tell us promptly about any unauthorized access.
• The holder of a Team account is responsible for the members they invite and the rights they give them. A join link works once; do not publish it.

4. Plans, trial and limits

• The plans offered, their prices and their limits (for example the number of stops or AI scans) are described on rotoya.com when you subscribe.
• Free: no payment, with usage limits. We may change or withdraw the free plan with reasonable notice.
• Trial: when a free trial is offered, nothing is charged before it ends; without a subscription at the end of the trial, the account moves to the free plan.
• Limits keep the Service affordable. We may enforce them automatically and suggest a suitable plan if you regularly exceed them.

5. Prices, payment and taxes

• Prices are in Canadian dollars, taxes extra (GST and QST, depending on your province).
• Payment is handled by our payment processor (Stripe). Monthly or annual subscriptions renew automatically for the same length until cancelled; the amount is charged at the start of each period.
• For a per-driver plan, the price follows the account's number of active drivers; an addition is charged pro rata.
• We will notify you at least 30 days before any price increase; it applies from the next period, and you may cancel before then.
• A declined payment may, after notice, move the account to the free plan.

6. Cancellation and refunds

You can cancel at any time in the app or by writing to support@rotoya.com. Cancellation takes effect at the end of the paid period; you keep access until then. Except where the law requires otherwise, periods already started are not refunded.

7. Your data

• The information you enter in ROTOYA (jobs, customers, proof) belongs to you. You allow us to host and process it only to provide the Service, in line with our Privacy Policy.
• You can export your proofs of delivery and ask for a copy of your data. When the account is closed, it is destroyed within 30 days.
• We may use aggregated, anonymized statistics (for example the number of stops planned) to improve the Service.

8. Your customers' information

When you enter your customers' information (names, addresses, phone numbers, signatures, photos), you are responsible for having the right to do so and for informing them as the law requires, including Québec's Act respecting the protection of personal information in the private sector. We process it on your behalf as a service provider: only under your instructions and this contract, under reasonable security measures, never for our own purposes, and we will notify you of any confidentiality incident affecting it. Send a tracking link only to the person the delivery concerns.

9. Acceptable use

You agree not to: use the Service for illegal purposes or to harass anyone; send unsolicited messages through the Service; try to access another account's data; get around limits or security; overload the Service or use it through unauthorized automated means; resell the Service without our written consent.

10. Road safety

Do not handle your phone while driving. Prepare the route while parked and follow the Highway Safety Code. Suggested routes do not account for every restriction (height, weight, construction, closures): follow road signs and your own judgment.

11. Estimates and artificial intelligence

Routes, distances, arrival times, stop times, and km and fuel savings are estimates. AI readings of photos, messages and files can contain errors: check each stop before saving it. You remain responsible for your commitments to your customers.

12. Availability and support

We aim for the Service to be available at all times but cannot guarantee it: maintenance and outages at our providers or on the internet may interrupt it. We announce planned maintenance in advance when possible. Support is by email at support@rotoya.com; we aim to answer within one business day.

13. Intellectual property

The Service, its software, the ROTOYA brand and its content belong to us. We grant you a personal, non-exclusive, non-transferable right to use it during your subscription. If you send us suggestions, we may use them freely.

14. Liability

To the extent permitted by law: we are not liable for indirect losses (lost profits, late-delivery penalties, lost customers); our total liability is limited to the amounts you paid us in the 12 months before the event. These limits do not apply to intentional or gross fault, to bodily or moral injury, or against the rights a consumer has under the Consumer Protection Act.

15. Suspension and closure

We may suspend or close an account that breaches these terms, after notice where reasonable, or immediately if the security of the Service or other users is at risk. You may close your account at any time.

16. Changes

We may change these terms. For an important change, we will send you the new version at least 30 days before it takes effect, in the app or by email; if you refuse it, you may cancel at no charge before that date.

17. Governing law

These terms are governed by the laws of Québec and the applicable laws of Canada. The courts of the judicial district of Laval have jurisdiction, subject to a consumer's right to sue in the court of their domicile.
